These Terms of Use, referred to as the “Terms,” govern your access to and use of talkerstein.com, referred to as the “Site.” The Site is operated by Talkerstein Consulting Group, referred to as “Talkerstein,” “we,” “us,” or “our.”

By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.

These Terms apply only to the Site and general website use. Client services, projects, retainers, proposals, statements of work, invoices, subscriptions, payment obligations, deliverables, timelines, approvals, intellectual property rights, service levels, advertising budgets, third-party platforms, and other business arrangements are governed by separate written agreements, proposals, invoices, or service terms.

Use of the Site

You may use the Site only for lawful purposes and in accordance with these Terms.

You agree not to:

  • Misuse the Site

  • Attempt to gain unauthorized access to the Site or related systems

  • Interfere with Site security, availability, performance, or functionality

  • Use bots, scrapers, crawlers, automated tools, or extraction systems without permission

  • Copy, scrape, reproduce, republish, resell, or exploit Site content without permission

  • Upload, transmit, or submit malicious code, spam, malware, or harmful content

  • Attempt to reverse engineer, test, overload, or compromise the Site

We may restrict, suspend, block, or terminate access to the Site at any time, with or without notice, if we believe you have violated these Terms or used the Site improperly.

No client relationship

Using the Site, submitting a form, booking a call, sending an email, messaging us, downloading content, viewing case studies, reading articles, or communicating with us does not create:

  • A client relationship

  • A consulting relationship

  • A fiduciary relationship

  • A professional advisory relationship

  • A duty to act

  • A duty to respond

  • A duty of confidentiality

  • An obligation to provide services

  • An obligation to accept your project

  • An obligation to preserve or return submitted information

A client relationship is created only when Talkerstein and the client enter into a written agreement, accepted proposal, signed statement of work, paid invoice, or other written commercial arrangement that we expressly approve.

No professional advice

The Site is provided for general informational, marketing, and educational purposes only.

Nothing on the Site constitutes legal, financial, tax, accounting, investment, compliance, cybersecurity, employment, business, medical, or professional advice.

You are responsible for obtaining qualified professional advice before making decisions based on information on the Site.

We do not guarantee that any information, strategy, example, checklist, audit point, article, resource, estimate, comparison, or recommendation on the Site is suitable for your specific business, industry, jurisdiction, budget, technical environment, risk profile, or legal obligations.

Marketing, advertising, SEO, branding, web design, automation, conversion optimization, analytics, content strategy, and consulting outcomes depend on many factors outside our control.

  • Overall look and feel

The Talkerstein name, logo, branding, slogans, service names, and related identifiers are owned by Talkerstein or its licensors.

You may not copy, reproduce, adapt, modify, distribute, display, sell, license, publish, scrape, train AI on, reverse engineer, or create derivative works from Site content without our prior written consent.

Limited personal or internal business viewing of publicly available Site pages is allowed, provided you do not remove notices, misuse the content, or violate these Terms.

User submissions

If you submit information, messages, documents, screenshots, links, files, comments, feedback, ideas, suggestions, concepts, or other materials to us through the Site or related channels, you represent and warrant that:

  • You have the right to submit them

  • They are accurate to the best of your knowledge

  • They do not violate any law

  • They do not infringe another person’s rights

  • They do not contain malware or harmful code

  • They do not include sensitive personal information unless specifically requested

  • They do not include confidential third-party information unless you are authorized to share it

You grant Talkerstein a non-exclusive, worldwide, royalty-free right to use, review, store, reproduce, analyze, and process your submissions for the purpose of responding to you, evaluating your inquiry, providing services, improving our processes, protecting our legal rights, and operating our business.

Unsolicited ideas

Do not send us unsolicited ideas, business plans, creative concepts, marketing strategies, product ideas, designs, code, content, slogans, inventions, or proprietary materials unless we have signed a written agreement that says otherwise.

If you submit unsolicited materials, you agree that:

  • They are not confidential

  • We have no obligation to review them

  • We have no obligation to return them

  • We have no obligation to compensate you

  • We may already be working on similar ideas

  • We may develop, use, sell, or offer similar ideas, services, designs, strategies, or materials without owing you anything

Website availability

We may update, modify, suspend, interrupt, restrict, or discontinue all or part of the Site at any time without notice.

We do not guarantee that the Site will be available, secure, uninterrupted, error-free, virus-free, compatible with your device, or free from harmful components.

You are responsible for your own internet connection, browser, device, software, backups, security, and access.

Accuracy of information

We try to keep Site information accurate and current, but we do not guarantee completeness, accuracy, reliability, suitability, availability, or timeliness.

Services are subject to separate written terms, availability, payment, approval, and acceptance by Talkerstein.

Payments and client work

These Terms do not govern detailed payment obligations for client work unless expressly stated.

Client payments, refunds, chargebacks, disputes, approvals, revisions, deliverables, timelines, ownership, licenses, expenses, third-party fees, advertising spend, hosting, subscriptions, scope, out-of-scope work, retainers, cancellations, and termination are governed by the applicable proposal, invoice, service agreement, statement of work, payment authorization, or other written arrangement.

If there is a conflict between these Terms and a signed client agreement, the signed client agreement controls for that client engagement.

Third-party links

The Site may link to third-party websites, tools, platforms, resources, or content.

Links are provided for convenience only.

We do not endorse and are not responsible for third-party websites, products, services, platforms, claims, policies, terms, security, privacy practices, pricing, accuracy, availability, or conduct.

You access third-party links at your own risk.

Privacy

Your use of the Site is also governed by our Privacy Policy and Cookie Policy.

By using the Site, you acknowledge that we may collect, use, disclose, and process information as described in those policies.

Disclaimer of warranties

To the maximum extent permitted by law, the Site and all Site content are provided “as is,” “as available,” and “with all faults.”

We disclaim all warranties, representations, and conditions of any kind, whether express, implied, statutory, or otherwise, including:

  • Exemplary damages

  • Loss of revenue

  • Loss of opportunity

  • Website downtime

  • Third-party platform issue

  • Advertising account issue

  • Search ranking loss

  • Social media account issue

  • Cost of substitute services

  • Claims arising from reliance on Site content

This applies whether the claim is based on contract, tort, negligence, strict liability, statute, equity, or any other legal theory, even if we were advised of the possibility of such damages.

To the maximum extent permitted by law, our total aggregate liability for all claims relating to the Site or these Terms will not exceed CAD $100.

Some jurisdictions do not allow certain limitations of liability. In those jurisdictions, our liability will be limited to the greatest extent permitted by law.

Release

To the maximum extent permitted by law, you release Talkerstein and its owners, directors, officers, employees, contractors, agents, affiliates, suppliers, and service providers from claims, demands, damages, losses, liabilities, costs, and expenses arising from:

  • Your use of the Site

  • Your reliance on Site content

  • Your use of third-party links

  • Your communications with us before a written agreement is in place

  • Your submission of information through the Site

  • Your violation of these Terms

  • Your violation of any law or third-party right

Indemnification

You agree to defend, indemnify, and hold harmless Talkerstein, its owners, directors, officers, employees, contractors, agents, affiliates, suppliers, and service providers from and against any claims, demands, damages, losses, liabilities, settlements, costs, and expenses, including reasonable legal fees, arising from or related to:

  • Your use or misuse of the Site

  • Your violation of these Terms

  • Your violation of any law

  • Your violation of any third-party right

  • Your submissions to us

  • Your unauthorized use of our content or intellectual property

  • Your negligence, misconduct, fraud, misrepresentation, or unlawful activity

We reserve the right to assume the exclusive defence and control of any matter subject to indemnification, and you agree to cooperate with us.

Force majeure

We are not responsible for any delay, failure, interruption, loss, or damage caused by events beyond our reasonable control, including:

  • Internet failures

  • Hosting failures

  • Platform outages

  • Cyberattacks

  • Labour disruptions

  • Natural disasters

  • Power failures

  • War

  • Terrorism

  • Civil unrest

  • Government action

  • Legal or regulatory changes

  • Third-party service failures

  • Payment processor issues

  • Search engine changes

  • Advertising platform changes

  • Social media platform changes

  • Cloud service outages

Governing law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law rules.

Limitation period

To the maximum extent permitted by law, any claim relating to the Site or these Terms must be brought within one year after the claim arose, or it is permanently barred.

No waiver

Our failure to enforce any part of these Terms does not waive our right to enforce it later.

Jurisdiction and venue

You agree that any dispute relating to the Site or these Terms will be brought exclusively in the courts located in Toronto, Ontario, Canada, unless applicable law requires otherwise.

You waive any objection to jurisdiction, venue, or inconvenient forum in those courts.

Severability

If any part of these Terms is found invalid, unlawful, or unenforceable, that part will be limited or removed to the minimum extent necessary, and the remaining parts will remain in full force and effect.

Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent.

We may assign or transfer our rights or obligations under these Terms without restriction, including in connection with a merger, acquisition, sale, restructuring, financing, or transfer of business assets.

Governing law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law rules.

When we update them, we will revise the effective date. Your continued use of the Site after updated Terms are posted means you accept the updated Terms.
